1. Acceptance of Terms
By accessing or using the Spektor mobile application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
Spektor reserves the right to modify these Terms at any time. We will notify you of material changes through the app or via email. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
2. Description of Service
Spektor is a two-sided marketplace platform that connects:
- Buyers -- individuals or businesses seeking quality assurance inspections for products, factories, or suppliers.
- Inspection Agents -- independent professionals who perform on-site inspections and provide detailed reports.
Spektor facilitates the connection, communication, and payment between these parties. Spektor is not an inspection company and does not perform inspections directly. Inspection agents are independent contractors, not employees of Spektor.
3. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.
4. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
- You may not create multiple accounts or share your account with others.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. User Roles and Responsibilities
5.1 Buyers
- Provide accurate and complete inspection requirements, including product details, factory location, and inspection type.
- Set fair and reasonable budgets for inspection services.
- Communicate clearly and promptly with assigned inspection agents.
- Review and respond to inspection reports in a timely manner.
- Release escrow payments upon satisfactory completion of inspections.
- Use the dispute resolution system for any disagreements rather than chargebacks.
5.2 Inspection Agents
- Provide accurate information about qualifications, certifications, and specializations.
- Only apply for inspections that match your expertise and availability.
- Perform inspections professionally, thoroughly, and in accordance with the agreed terms.
- Submit honest, accurate, and complete inspection reports with supporting evidence.
- Maintain confidentiality of proprietary information encountered during inspections.
- Communicate promptly with buyers regarding inspection progress.
- Complete inspections within the agreed timeframe.
6. Inspections
6.1 Inspection Types
The platform supports the following inspection types:
- Pre-Shipment Inspection (PSI) -- Conducted when production is at least 80% complete.
- During Production Inspection (DPI) -- Conducted during the manufacturing process.
- Post-Production Inspection -- Conducted after production is fully complete.
- Factory Audit -- Assessment of a factory's capabilities, processes, and compliance.
- Recurring Inspections -- Scheduled repeat inspections at defined intervals.
6.2 Inspection Workflow
- Buyer creates and publishes an inspection request.
- Agents apply with their proposed terms and rates.
- Buyer reviews applications and selects an agent.
- Escrow payment is held upon assignment confirmation.
- Agent performs the inspection and submits a report.
- Buyer reviews the report and confirms completion.
- Escrow payment is released to the agent.
6.3 Reports
Inspection reports become the property of the buyer upon payment completion. Agents retain the right to reference their work (without disclosing proprietary details) for portfolio and reputation purposes.
7. Payments and Escrow
7.1 Escrow System
All payments between buyers and agents are processed through our escrow system. When a buyer assigns an agent to an inspection, the agreed payment is held in escrow until the inspection is completed and accepted.
7.2 Payment Terms
- Buyers must fund the escrow before the inspection begins.
- Escrow funds are released to the agent upon buyer confirmation of completed work.
- If a buyer does not respond within 14 days of report submission, funds may be auto-released to the agent.
- Spektor may charge service fees on transactions. Applicable fees will be disclosed before payment.
7.3 Refunds
Refunds are handled through the dispute resolution process. Refund eligibility depends on the circumstances:
- Full refund if the agent fails to perform the inspection.
- Partial or full refund if the inspection report is materially deficient, as determined through dispute resolution.
- No refund for completed inspections where the results are simply unfavorable to the buyer.
7.4 Agent Payouts
Agents can configure their payout methods in the app. Payouts are processed after escrow release, subject to any applicable processing times and fees from payment providers.
8. Ratings and Reviews
- Both buyers and agents may leave ratings and reviews after an inspection is completed.
- Reviews must be honest, factual, and based on the actual inspection experience.
- Spektor reserves the right to remove reviews that are fraudulent, defamatory, or violate these Terms.
- Manipulation of ratings (e.g., fake reviews, review exchanges) is strictly prohibited.
9. Dispute Resolution
If a dispute arises between a buyer and an agent:
- Both parties should first attempt to resolve the issue through the in-app messaging system.
- If direct resolution fails, either party may initiate a formal dispute through the platform.
- Both parties may submit evidence to support their position.
- Spektor will review the dispute and make a determination based on the evidence provided.
- Spektor's decision on disputes is final and binding on both parties.
10. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Circumvent the platform to arrange payments or services directly between buyers and agents outside of Spektor.
- Submit false, misleading, or fraudulent information, reports, or reviews.
- Harass, threaten, or abuse other users.
- Attempt to gain unauthorized access to other user accounts or the Service's systems.
- Use automated tools, bots, or scrapers to access or interact with the Service.
- Interfere with or disrupt the Service's infrastructure.
- Create multiple accounts to evade bans, manipulate ratings, or gain unfair advantage.
- Share confidential business information obtained through inspections with unauthorized parties.
- Solicit users away from the platform for competing services.
11. Intellectual Property
The Service, including its design, features, code, and content, is owned by Spektor and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
You retain ownership of content you create (such as inspection reports and photos), but grant Spektor a non-exclusive license to use, store, and display this content as necessary to operate the Service.
12. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
13. Disclaimers
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
- Spektor does not guarantee the quality, accuracy, or reliability of inspections performed by agents.
- Spektor does not endorse or verify the qualifications of any agent beyond the information provided on their profile.
- Spektor is not responsible for decisions made based on inspection reports.
- Spektor does not guarantee continuous, uninterrupted access to the Service.
14. Limitation of Liability
To the maximum extent permitted by law, Spektor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill.
Spektor's total liability for any claim arising from these Terms or the Service shall not exceed the amount of fees paid by you to Spektor in the 12 months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Spektor, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
16. Termination
- You may delete your account at any time through the app settings.
- Spektor may suspend or terminate your account for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.
- Upon termination, any pending escrow transactions will be resolved according to the applicable dispute and refund procedures.
- Sections regarding intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Spektor operates, without regard to conflict of law principles.
18. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Spektor regarding the use of the Service.
